5. Indemnification

YOU HEREBY AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS Smart Arches and its Supported Dental Practices, as well as Smart Arches’ officers, directors, employees, agents, contractors, licensors, and any information providers, from and against any and all third-party demands, claims, actions, proceedings, damages, liabilities, losses, fees, costs, or expenses (including without limitation reasonable attorneys’ fees and the costs of any investigation) arising out of, in connection with, or resulting from any violation or alleged violation of, or breach or default of, these Terms, or any negligence, gross negligence, or willful misconduct by or on behalf of You or Your employees or agents. For the avoidance of doubt, these indemnification obligations extend to Your use of the Site, Your use of the Site’s content and services in any manner not expressly authorized under these Terms, Your use of any information obtained from the Site, and any information You submit to this Site. YOU FURTHER AGREE THAT SMART ARCHES, OR A SUPPORTED DENTAL PRACTICE, SHALL RESERVE THE RIGHT, AT YOUR EXPENSE, TO ASSUME THE EXCLUSIVE DEFENSE AND CONTROL OF ANY MATTER OTHERWISE SUBJECT TO INDEMNIFICATION BY YOU, and in such case, You agree to cooperate with Smart Arches, or a Supported Dental Practice, in the defense of such matter.

6. Privacy Policy

The Privacy Policy is incorporated and made part of these Terms. You hereby agree to such Privacy Policy. Any personal information that You transmit to the Site will be used by Smart Arches in accordance with the Privacy Policy.

Note that the Privacy Policy and these Terms do not apply to information that would be considered protected health information (“PHI”) under the Health Insurance Portability and Accountability Act of 1996 and its implementing regulations, as amended (“HIPAA”). Smart Arches may receive PHI from a supported practice in connection with the provision of certain services it provides for or on behalf of the supported practice. For more information about how Your PHI may be used and disclosed, please refer to the relevant Notice of Privacy Practices provided to You by the supported practice. If there are any inconsistencies between the Notice of Privacy Practices and the Privacy Policy or these Terms, the Notice of Privacy Practices will control with respect to the use and disclosure of Your PHI.

7. Our Compliance with COPPA

This Site is intended for and available only to individuals who are eighteen (18) years of age or older. THIS SITE IS NOT INTENDED FOR USERS WHO ARE YOUNGER THAN EIGHTEEN (18) YEARS OF AGE. 8. Governing Law; Jurisdiction

These Terms shall be interpreted, governed, and enforced in accordance with the laws of the United States and the State of Delaware, without regard to any conflict of laws principles. You agree that the venue for all actions relating in any manner to these Terms shall be in a federal or state court of competent jurisdiction located in New Castle County, Delaware. Each party to these Terms waives any objection based on forum non conveniens and waives any objection to venue of any action instituted hereunder to the extent that an action is brought in the courts identified above.

9. Severability

Should any provision of these Terms be found invalid or unenforceable by a court of competent jurisdiction, such provision shall be ineffective solely to the extent of such invalidity, and the remainder of that provision and all other provisions of these Terms shall remain in full force and effect.

10. Waiver

No waiver by Smart Arches of any term or condition set forth herein shall be construed as a continuing or further waiver of that term or condition or as a waiver of any other term or condition, and any failure by Smart Arches to enforce any right or provision hereunder shall not operate as a waiver of such right or provision.

11. Changes To These Terms

We reserve the right to amend or revise these Terms at any time. In the event of material amendments, We will post a notification on this page. The date on which these Terms were last revised is identified at the top of this page.
